1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the VanguardFX Audio Reaction plugin and related services (collectively, the "Service") provided by VanguardFX Studio ("we", "our", "us"). By installing, activating, or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not install or use the Service.

2. Your License

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the VanguardFX Audio Reaction plugin on one (1) computer identified by its hardware fingerprint (HWID), for the duration of your active subscription period.

License tiers:

You may use the plugin in commercial projects, including client work, films, advertisements, music videos, and other commercial productions.

4. Payment & Renewal

All prices are in US Dollars (USD). We accept payment via USDT (BSC) and US ACH bank transfer.

Licenses are not auto-renewing. When your license expires, the plugin will stop functioning until you purchase a new license. You may renew at any time before or after expiry.

Promotional discounts (sales, holiday discounts) apply only at time of purchase and are not retroactive.

5. Hardware Binding & Resets

Each license is bound to one PC's Hardware ID (HWID). The HWID is derived from non-personal hardware identifiers (CPU, motherboard, etc.) and does not include any personal information.

If you change significant hardware components or perform a fresh operating system installation, your HWID will change and the plugin may no longer activate. We provide:

6. Updates & Support

All paid licenses include free software updates within the license period, including bug fixes, new features, and compatibility improvements.

Support is provided via Telegram (@VanguardFX_Support) on a best-effort basis. We aim to respond within 24-48 hours but cannot guarantee specific response times.

We may end-of-life the plugin or specific features with at least 30 days notice. Existing paid licenses remain valid through their stated period regardless.

7. Termination

We may suspend or revoke your license, with or without refund, if you:

You may terminate your use at any time by uninstalling the plugin and ceasing all use. Termination does not entitle you to a refund unless covered by our Refund Policy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the plugin will be uninterrupted, error-free, or compatible with every system configuration. You assume all risk associated with use.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, lost work product, business interruption, or damage to project files, even if advised of the possibility.

Always back up your 3ds Max scene files. We strongly recommend regular backups before installing any plugin, including ours.

10. Third-Party Software

VanguardFX Audio Reaction is an independent third-party plugin. It is not affiliated with, endorsed by, or sponsored by Autodesk, Inc. (maker of 3ds Max) or tyFlow LLC. All trademarks belong to their respective owners.

You are responsible for obtaining your own valid licenses for 3ds Max and tyFlow Pro.

11. Governing Law & Export Compliance

These Terms are governed by the laws of the State of California and the applicable federal laws of the United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.

The Service is subject to United States export control and economic sanctions laws, including regulations administered by the U.S. Department of Commerce and the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC"). By using the Service, you represent that you are not located in, organized under the laws of, or ordinarily resident in any country subject to comprehensive U.S. trade sanctions, and that you are not listed on the U.S. Treasury's Specially Designated Nationals list or any other applicable restricted-party list.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be announced via our Telegram channel and reflected in the "Last updated" date at the top of this page. Continued use of the Service after changes constitutes acceptance.
